Welcome to our subscription-based web design services (the "Service"). By subscribing to our Service, you agree to the following terms and conditions ("Terms"). Please read them carefully.

1. Subscription Overview

1.1 Services Provided: Our Service includes [custom web design, website audits, maintenance, and other related offerings]. Details of the scope of work will be outlined in individual service agreements or invoices.

1.2 Subscription Plans: We offer flexible subscription plans tailored to your needs. Plan details, including deliverables, timelines, and fees, will be provided during onboarding and stated on your invoice.

2. Payment Terms

2.1 Payment Method: We accept payments via bank transfer, PayPal, Wise, and ACH. Please note that we do not use Stripe, as it is not currently available in the Philippines. Invoices are sent manually for each billing cycle.

2.2 Invoicing: Invoices are issued at the start of each billing cycle via email. Payment is due within 7 days of invoice issuance.

2.3 Late Payments: Payment is due within 7 days of invoice issuance. If payment is not received after three (3) reminders, a 2% late fee will be applied to the outstanding balance. Continued failure to pay may result in suspension or termination of your subscription, and all work may be paused until payment is received.

2.4 Currency: All subscription fees are charged in USD, unless otherwise agreed.

3. Subscription Term and Renewal

3.1 Initial Term: Subscriptions are billed monthly and continue until paused or canceled by either party.

3.2 Renewal: Plans automatically renew each month unless canceled with at least 3 days’ written notice before the next billing date.

3.3 Cancellation by Us: We reserve the right to cancel your subscription for non-payment, policy violations, or misuse of the Service.

4. Scope of Work and Revisions

4.1 Project Scope: Each subscription allows one active request at a time (or more in project-based work). New requests begin once the current task is completed.

4.2 Revisions: Revisions are unlimited within the bounds of reasonable and good faith collaboration. Excessive rescoping may require a new request or adjustment to the subscription.

5. Intellectual Property

5.1 Ownership: You receive full ownership of final deliverables upon full payment. BYD3SIGN retains the right to showcase the work unless otherwise agreed in writing.

5.2 Client Materials: You are responsible for ensuring that all provided assets (text, images, etc.) do not infringe on third-party rights.

6. Confidentiality

Both parties agree to keep confidential all non-public business information, strategies, and creative drafts shared during the course of the engagement.

7. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid in your most recent subscription cycle.

8. Termination

8.1 By You: You may cancel or pause your subscription anytime with at least 3 days’ notice before the next billing cycle.

8.2 By Us: We may terminate your subscription for violations of these Terms, misuse of services, or non-payment.

8.3 Post-Termination: Upon cancellation, completed deliverables will be sent. Any unpaid invoices are due immediately. Unfinished requests will not be completed unless separately arranged.

9. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict of laws principles.

10. Modifications

We may update these Terms at any time. You will be notified at least 7 days before updates take effect.
